Chief Executive Officer
|

|
Karen J. Wendel, a recognized financial services business leader, has more than 20 years of experience in
financial services, applications development and business management. Her expertise includes international
banking, payments, treasury management and transaction processing. Ms. Wendel also has a track record for
raising capital to bring innovative technology solutions to market. Prior to joining IdenTrust,
Ms. Wendel was the CEO of eFinance Corporation, an applications development company that provides risk
and credit decisioning solutions. She was previously a partner at the Belgium-based consulting firm
The Capital Markets Company (CAPCO) where she led the growth of CAPCO's e-finance practice, including
raising capital and building out the required team and infrastructure to serve global financial
institutions in Asia, Europe and Latin America. Prior to that, Wendel led the U.S. Financial Services
Practice of Gemini Consulting where she managed global accounts and developed service offerings including
transaction processing, electronic commerce, and real-time management. Ms. Wendel is the author of
numerous industry publications and articles on the subjects of cash management, payments and financial
supply chain integration. She has been an advisor to the European Union on emerging technologies for
payments and the keynote speaker at major international banking conferences. She has degrees in Economics
and International Relations from Brigham Young University.

Chief Operating Officer

Thomas G. Ream recently joined IdenTrust as Chief Operating Officer, responsible for operations,
the government sector, finance and administration. Tom brings to IdenTrust a deep
combination of operations, international and financial experience. At VeriFone, the leading provider of
point of sale card acceptance devices, Tom was instrumental in building the international business of
VeriFone, holding a variety of roles, including Vice President and General Manager of the International
Division. Tom built the operational and administrative infrastructure for Europe, Asia Pacific and Latin
America, started VeriFone’s business in Canada before taking on an assignment as VP, Americas where he
more than doubled revenues in 18 months. He also was instrumental in launching VeriFone’s first
transaction processing software product outside of the US, and secured the first non-US sale to a
major Canadian transaction processor. As VP and GM of International, he was in charge of operations
in more than 100 countries.
Tom has also held senior management roles in other payment and software companies, most recently as
Vice President of Corporate Development and CFO of Tacit Software. He served on the board and as COO
of Boostworks, a French software company, while living in France. Tom has been a speaker at card and
payment conferences, and has authored articles on financial accounting issues.

Chief Marketing Officer

Andrea Klein is responsible for the company's global strategy, marketing and business development.
Prior to her role at IdenTrust, Andrea was the Vice President for Financial Services Industry Strategy
and Marketing at Oracle. While there, she launched industry initiatives around performance management,
straight through processing between corporate ERP systems and the banks, and, an enterprise software
program for payments. She was also responsible for integration and execution of strategic acquisitions
and investments for the industry. Prior to joining Oracle she was the Vice President for Financial
Industry Services and Solutions at Compaq. She has over 25 years of financial industry experience both
from her years at Bank of America and her experience building and running a global industry marketing
and professional services organization.
Ms. Klein has extensive leadership and strategic experience in the design, development and implementation
of payments and intra-day liquidity management systems. She has successfully led a team in developing
and delivering a global integrated payment solution, and, in the design of an enterprise wide risk
management system.
Ms. Klein has been a speaker at numerous financial institution and technology conferences around the globe.
Additionally, she has written articles on intra-day liquidity management and enterprise wide risk
management for international publications.

Chief Technology Officer

Mack Hicks is responsible for expanding IdenTrust's capabilities, including the policy, legal, operational
and technical components of the IdenTrust solution. He is a recognized industry expert with more than 30
years of experience in information security, public key infrastructure (PKI) and systems architecture,
holding key influential roles with the National Automated Clearing House Association (NACHA) and BITS,
a non-profit industry consortium to foster electronic financial services. Previously, he was
Senior Vice President of Corporate Information Security at Bank of America, where he was a principal
architect of IdenTrust' PKI for bank to bank communications chairing the technical working group, and
directed the creation of IdenTrust' information security plans and policies. Also, he authored the
bank's security policy and standards, and represented the US financial industry on the Network Security
Incident Exchange of the President's National Security Telecommunications Advisory Committee (NSTAC).
He holds a Master of Science degree in Computer Science from Carnegie - Mellon University in Pittsburgh,
PA., and a Bachelor of Arts in Physics from David Lipscomb University in Nashville, TN.

EVP, Sales and Business Development

John Traynor is responsible for all sales and business development at IdenTrust. Mr. Traynor brings
extensive sales, financial and managerial experience in banking services and business strategy to
IdenTrust. Previously, he was with ABN AMRO Bank where he served as the Group Senior Vice President and
Managing Director of Treasury Management Services, growing revenues from $17 million to more than
$250 million. He also spent 15 years at Citibank, serving in a variety of roles in corporate global
cash management and financial institution services. Mr. Traynor brings a record of success in building
strategic alliances, an extensive background and expertise in the banking industry, and a core
understanding of financial and corporate customer needs for identity authentication.

Chief Administrative Officer

Debbie Fugate is responsible for the administrative functions at IdenTrust, including Finance and
Human Resources. Previously Vice President of Finance at eFinance, Ms. Fugate brings more than 15 years
experience in finance and strategic planning. Prior to joining eFinance, she worked at Scudder Weisel
Capital where she was responsible for the launch of their online private equity, brokerage, and research
business. She has an extensive background in the banking and financial services sector. At the Capital
Markets Company (CAPCO), her consultancy experience specialized in internet transactions and payments
processing. Prior to joining CAPCO, she worked at Gemini Consulting in the Financial Services Practice
where she specialized in Strategic Planning, Marketing and Balanced Scorecard. Her career in the
financial services industry started in the banking sector where she worked as a commercial banking
officer and as a consumer loan officer. Ms. Fugate holds a BA in Economics and Political Science
from Northwestern University and a MBA in Finance and Marketing from the University of Chicago.

Vice President, General Counsel

Lawrence R. Miller is responsible for the legal affairs of IdenTrust. His career spans 26 years in
technology, intellectual property, corporate and international law, regulatory affairs and litigation.
Prior to joining IdenTrust in August 1999, Mr. Miller spent over two years at the New York office of
the national law firm of Paul, Hastings, Janofsky & Walker. Before that, Mr. Miller spent 11 years at
Young & Rubicam Inc., a global corporate communications company, where he was Deputy General Counsel,
responsible for litigation worldwide, major corporate transactions, joint ventures, intellectual
property, Internet and media law, and international affairs. In 1984 and 1985, Mr. Miller served as
Vice President and Senior Associate Counsel at the Chase Manhattan Bank in its Corporate Operations
and Systems Group, where he created a global program to license and export trade finance software
containing authentication capabilities built around an encryption engine. Mr. Miller earned a law
degree from New York University in 1979 and a bachelor's degree in philosophy from Brown University
in 1974.

Vice President, Operations

Don Johnson heads up all facets of operations at IdenTrust. He has 16 years experience managing people
and large-scale projects and systems. His experience includes project management and systems
implementation responsibility for Ernst & Young LLP, where he managed numerous multi-million dollar
projects for Fortune 100 companies such as 3M and Emerson. His operations management background includes
ten years in the U.S. Air Force where he helped design, develop, and manage an Air Force wide
logistics management computer system and as the Vice President of Technical Operations for First Health,
the nation's largest third-party administrator of healthcare claims. He has managed a staff of 160
people and a $45 million budget. Mr. Johnson holds a Bachelor of Science in Computer Science and
Computer Information Systems.

Vice President, Delivery

Vishvas Patel oversees the delivery of services and solutions at IdenTrust. Mr. Patel has 14 years
experience in developing technology-based services and businesses for a variety of industries.
He brings extensive professional services management skills to the table, including experience at
Andersen Consulting (now Accenture), Unisys, Answerthink Consulting, and Progressive Solutions.
His experience covers broad areas such as security, PKI, access and encryption projects, including
basic strategy and operations design as well as large scale technology implementations.
He has worked with government sector clients, at both the federal and state levels, and with Fortune
500 corporate clients leveraging technology, policy, and procedures as foundation for streamlined
processes and more efficient business operation. Mr. Patel has a BS and a Masters in Electrical
Engineering from the University of Utah.
