Chairman of the Board

|
John Sculley draws from his extensive experiences in building great companies to offer
valuable insights for IdenTrust. He has been named Man of the Year by Financial World, CEO of the Decade
by Financial News Network and Advertising Man of the Year by Adweek as well as Ad Age. Currently,
he is a Venture Partner at Rho Capital Partners. Previously Mr. Sculley worked at Sculley Brothers LLC,
a private investment firm that he founded in 1995. From 1983 to 1993, he was CEO of Apple Computer and
during that time, the Macintosh went on to become the number 1 selling PC in the world. For the five
years prior to joining Apple, Mr. Sculley was President and CEO of Pepsi, during which time the company's
successful "Pepsi Generation" and "Pepsi Challenge" marketing campaigns enabled the brand to become the
largest selling packaged goods in America. He received an MBA from the Wharton School of Business.

Karen J. Wendel, a recognized financial services business leader, has more than 20 years of experience in
financial services, applications development and business management. Her expertise includes international
banking, payments, treasury management and transaction processing. Ms. Wendel also has a track record for
raising capital to bring innovative technology solutions to market.
Prior to joining IdenTrust, Ms. Wendel was the CEO of eFinance Corporation, an applications development
company that provides risk and credit decisioning solutions. She was previously a partner at the
Belgium-based consulting firm The Capital Markets Company (CAPCO) where she led the growth of
CAPCO's e-finance practice, including raising capital and building out the required team and
infrastructure to serve global financial institutions in Asia, Europe and Latin America. Prior to that,
Wendel led the U.S. Financial Services Practice of Gemini Consulting where she managed global accounts
and developed service offerings including transaction processing, electronic commerce, and real-time
management.
Ms. Wendel is the author of numerous industry publications and articles on the subjects of cash management,
payments and financial supply chain integration. She has been an advisor to the European Union on
emerging technologies for payments and the keynote speaker at major international banking conferences.
She has degrees in Economics and International Relations from Brigham Young University.

Vice Chairman and CFO, Zions Bancorporation

Vice Chairman and Chief Financial Officer of the Company; Mr. Arnold was named as chief financial officer
of Zions Bancorporation in November 2001. He was formerly group executive vice president for Corporate
Strategy and Development at BankAmerica Corporation in San Francisco. He has served in a variety of
executive management positions at BankAmerica, and prior to that at Wells Fargo & Company. Mr. Arnold
also served as Senior Deputy Comptroller of the Currency and executive assistant to the Deputy Secretary
of the Treasury during the Reagan Administration. He has also served as chief financial and administrative
officer of Bankserv, Inc., a leading electronic payments company. Mr. Arnold is a graduate of Rice
University, and holds a Masters in Business Administration degree from Stanford University.

Managing Director, Enterprise Partners Venture Capital

Carl brings a wealth of executive management and operational experience to the Enterprise team.
Before joining Enterprise Partners, he served as President and CEO of Maxwell Technologies, a publicly
held high-tech electronics corporation. Before that, he was President and COO of Stratagene Corporation,
a privately held biotech company. At Mycogen Corporation, a diversified publicly held company specializing
in agribusiness and biotech, Carl held several key executive positions, including President, COO and CEO,
before the company was acquired by Dow Chemical in 1998.

Jean Lavigne is currently the Managing partner at JCL Consei, a consulting firm specializing in High Tech
business strategies. With expertise in the international business arena, Lavigne has served as vice president
and country president in France and Belgium for Motorola, Inc., and he was president and chief executive
officer of Motorola, SA. Prior to joining Motorola, Lavigne was with Digital Equipment Corporation in
Europe where he was responsible for Interconnect Technology and served as a member of its European
Government Affairs Team. Lavigne holds a Master of Science degree form University of Virginia and
a MBA from Massachusetts Institute of Technology.

Andrew McLauchlan is the IdenTrust board member representing Australia and Asia Pacific.
He is a member of the Board of IdenTrust Japan, a Japanese joint venture between IdenTrust and NDS
aimed specifically at the Japanese financial market. Andrew has more than 20 years experience in the
banking and finance industry including designing and implementing new retail and corporate banking
strategies on a global basis. He brings operational expertise in corporate and investment banking as
well as broad operations management and strategy skills. Most recently, he has held leadership roles
in establishing ANZ's e-Commerce business unit, accountable for setting strategy and organizational
development. As part of the role, he led the establishment and development of IdenTrust as a global
player while also building a variety of other ecommerce companies that have successfully provided
products in the Australian and US marketplace. He holds a Masters of Business Administration from
the Australian Graduate School of Management and is a member of the Australian Institute of Company
Directors.

Partner, Rho Ventures
|

|
Ben Terk is a partner with Rho Ventures, a $1.5 billion venture capital firm. Mr. Terk is responsible
for investments in the information technology sector. Prior to joining Rho in 1998, Ben was with Morgan
Stanley & Co., for three years in their Mergers and Acquisitions Department and Venture Partners Group.
Mr. Terk graduated from Duke University with a BA degree in Economics, Phi Beta Kappa, Magna Cum Laude,
and from the Wharton School of Business on the Director's List as a Palmer's Scholar, with an MBA in
Finance and Information Strategy. Ben also serves on the boards of Alien Technology, LightPointe, PHT
Corporation, and Solicore. He is also Chairman of Wharton Private Equity Parnters and a Director of the
Wharton Alumni Board and the Children's Aid Society's Rhinelander Center.
